Report of the General Meeting held on 27th April 2005

Nine members of the ACT Cornish Association attended the general meeting and the following AGM.
A vote was taken on the motion that:

The Cornish Association of the Australian Capital Territory Incorporated should be wound up.
This was passed unanimously. Therefore no further membership renewals will be taken for 2005.

I will now have to write to the ACT registrar to request that the incorporation is cancelled.

It was also agreed unanimously that the remaining funds of the Association should be divided between the dance
group (50%), the Welsh Society (25%) and administration (25%). As the original dance group was a sub group
of the Cornish Association, it does not exist in its own right and does not have a bank account.
However, the Cornish/Welsh dance group which currently operates under the auspices of the Welsh
Society could be given the money for the use of the dance group for hall hire and insurance.

Once the funds are dispersed, the bank account can be closed and the PO box will also be closed.
I will be away for the next 9 weeks but these administrative details should be completed by September.

It was proposed that we did not have a meeting in June or August and I have cancelled the room bookings
for these months. However, I have retained the October booking for 19th October so that a final winding
up meeting can be held. It was proposed at the general meeting that we meet for dinner at the Hellenic club
prior to the meeting and that the Association would pay for this function from the funds allocated for
administration. It was also suggested that people who had previously been members of the Cornish
Association should also be invited.

At the final meeting Elizabeth Price will present her talk which was held over from the April meeting and Jennie
Widdowson and Jill Batten (if available) will talk about their recent visits to Cornwall. There can also be further
discussion about whether the group wishes to continue to meet occasionally on an informal basis.

We decided to retain the web site and this will be updated with information about any future meetings
and information about the dance group.

News - April

The next meeting of the Cornish Association of the ACT will be held on

Wednesday 27th April at 8pm

at the

Orpheus Room, Hellenic Club

There will be:
  1. A General Meeting (see details below)
  2. The Annual General Meeting
  3. A talk by Elizabeth Price titled "A Cornish Boyhood"

A total of eight people attended the February meeting of the Cornish Association. We discussed possible options
for the future of the Association and the general feeling was that the Association was becoming too small to remain
incorporated and we would be better operating as an informal group.

The reasons for this was:
  1. the continuing low numbers attending meetings;
  2. the increasingly difficult task of finding topics for meetings as the resources of current
    members have been fully exploited
  3. and the difficulty (due to the low attendance) in inviting speakers from outside the Association.

As an informal group we would not need a full committee, just a coordinator and may decide to meet once or twice
per year, although currently we have the use of the Hellenic Club rooms for the rest of 2005.

However, it may not be feasible to have a meeting in June as I and at least one other member who attended
the February meeting will be overseas. Jill Batten has offered to speak about Cornish Mediaeval history
at the August meeting.

I have checked the Constitution of the Cornish Association and also the Associations Incorporation Regulation 1991
(amended 4 November 2004) of the ACT and have found the following information:

  1. An association can only have its incorporation cancelled by either ceasing to be in operation
    or by having fewer than 5 members.
  2. An association can be wound up by a Special Resolution at a General meeting which must be passed
    by three quarters of the members who are entitled to vote.
  3. Proxy voting is not allowed for absent members according to the Cornish Association Constitution.
    (This takes precendent over the ACT Regulation)
  4. Only financial members of the association are entitled to vote.
  5. A quorum at a General meeting consists of 5 people.

 
Therefore I propose (seconded by Gail) the following Special Resolutions for the General meeting:

The Cornish Association of the Australian Capital Territory Incorporated should be wound up.

If this resolution is agreed by three quarters of those financial members present, then cancellation of the Incorporation would automatically follow and the following resolution should be considered:

An informal group known as the ACT Cornish Group should be formed.

Depending on the above results, other decisions may have to be made concerning the funds of the Incorporated
Association, the continuing use of the post office box and annual membership fees. Currently, no members of the
Cornish Association are financial for 2005. Membership fees for 2005 can be paid before the start
of the General meeting.

The Committee will make a decision on the cost of membership for 2005 bearing in mind the possible changes in
circumstances of the group. If you are interested in having your views counted, then please try to attend
the General Meeting.

Please note that the date has been changed to the 4th Wednesday of April to enable Gail to be present.
